Tender Offer Price for Common Shares of T3EX Global Holdings (”T3EX” or
”Target Company”)

(1) WPG Holdings Limited applied to the Financial Supervisory Commission
(”FSC”) and announced regarding Public Tender Offer of T3EX common shares
for 28 New Taiwan Dollars per share on June 18, 2020. In consideration of
the overall situation during the Tender Offer period, the Company decided
to raise the Public Tender Offer price to 32 New Taiwan Dollars per share.
The adjusted Tender Offer price remains within the fair value range
evaluated in the fairness opinions regarding the offer price in this Public
Tender Offer by the independent expert on June 16, 2020.
(2) In accordance with Article 17 of the Regulations Governing Public
Tender Offers for Securities of Public Companies, the Company shall apply
to the Financial Supervisory Commission (”FSC”) regarding the change of the
Public Tender Offer price and publicly announce the decision. The Company
plans to proceed with the above application and announcement the next
business day (i.e. July 6, 2020) of the Board resolution date.
(3) Other conditions of this Public Tender Offer remain unchanged. The total
payment of the Consideration will be issued within 5 business days
(including the 5th business day) following the expiration of the Tender Offer
period (or the extended Tender Offer period).
