2.Cause:
The Public Tender Offeror has deposited consideration to be paid by the
Public Tender Offeror, as instructed in writing by KGI Securities Co.,
Ltd. (“KGI Securities”) into the Public Tender Offer account in the
name of KGI Securities at KGI Bank Zhongshan Branch on July 13, 2020.
The account name is ”KGI Securities Public Tender Offer Account”, and
the account number is ”00001118616000”. The information is hereby announced
pursuant to Subparagraph 3, Paragraph 2, Article 19 of the Regulations
Governing Public Tender Offers for Securities of Public Companies.
3.Countermeasures:
Where the Tender Offer condition has been met, in the absence of
provisional attachment, provisional injunction, and other provisional
remedies proceedings or compulsory enforcement or any other restriction
on transfer that voids the tendering of shares for sale and in the absence
of any other circumstances that allow termination of the public tender
offer with the competent authority's approval, consideration for the Public
Tender Offer will be paid by KGI Securities by wire transfer as the
preferred method to the corresponding tender participant accounts at the
Taiwan Depository & Clearing Corporation. In the event that a wire transfer
cannot be completed due to an error in a participant's account number or any
other reason, consideration will be paid by a check (crossed and non-
endorsable/non-transferable) to be sent by registered mail to the tender
participant's address as provided by the participant or the Taiwan Depository
& Clearing Corporation on the business day following confirmation of transfer
failure. Calculation of the amount of transfer/check will be based on the
consideration for shares tendered less securities transaction taxes,
remittance fee/postage, fees charged on depository accounts and by securities
dealers, and other expenses, and then rounded to the nearest dollar.
