8.Reason for changes to conditions of the public tender offer:
In consideration of the overall situation, the Tender Offeror decided
to raise the Public Tender Offer price to 32 New Taiwan Dollars per
share. The adjusted Tender Offer price remains within the fair value
range evaluated in the fairness opinions regarding the offer price in
this Public Tender Offer by the independent expert on June 16, 2020.
9.Any other matters that need to be specified:
(1) To provide evidence of the ability to carry out the Public Tender
Offer payment, Mizuho Bank Ltd., Taipei Branch has issued a guarantee
letter not exceeding NT$656,096,000 on behalf of the Public Offeror
on June 18, 2020. To cope with the modification of Public Tender Offer
price, Mizuho Bank Ltd., Taipei Branch has issued another guarantee
letter not exceeding NT$93,728,000 on behalf of the Public Offeror on
July 6, 2020. The total guarantee amount sums up to NT$749,824,000,
sufficient to carry out the modified Tender Offer Consideration,
NT$749,824,000 in total.
(2) Other conditions of this Public Tender Offer remain unchanged.
The total payment of the Consideration will be issued within 5
business days (including the 5th business day) following the expiration
of the Tender Offer period.
