5.Cause of occurrence:
I. Pursuant to the Company's shareholders’meeting resolved to
amend the Articles of Incorporation and change Company's name
on May 31,2023, which has been approved by the Ministry of
Economic Affairs via its approval letter No.11230104140
dated June 14, 2023, the Company's Chinese name formerly known
as”大聯大投資控股股份有限公司”is now changed to ”大聯
大控股股份有限公司”.The Company’s stock symbol in Chinese
, the Company's English name and the Company’s symbol in
English remain, the Company’s stock code remains ”3702”、
”3702A”.
II. The Company plans to set August 31, 2023, as the record date for
securities certificates exchange of handling new share exchange
affairs and formulate an operation plan in accordance with the
”Taiwan Stock Exchange Corporation Procedures for the
Exchange of Securities Certificates by TWSE Listed Companies.”
The plan shall implement after approval by TWSE and the
Company will make a separate announcement once approved.
6.Countermeasures:
I. Number of stocks, share par value, total amount of exchange of
securities certificates:
(i) Name: Formerly known as ”大聯大投資控股股份有限公司”,
now changed to ”大聯大控股股份有限公司”.
(ii) Common shares 1,679,056,833 shares (including private placement
of shares 0 shares) and Preferred stock 200,000,000 shares , NT$10
par value, NT$18,790,568,330 in total. The stock reissuance shall
be conducted on a one-to-one ratio basis.The new shares shall be
transferred and registered electronically.
(iii)Shareholders will receive new shares in the amount of 100% of
original shares based on their shareholding ratio at the record date.
(iv) Obligation and right of Security remain unchanged.
II. Schedule of securities certificates exchange:
(i) Book closure date of old securities:2023/08/26
(Due to coincides with public holiday, please transact before
August 25, 2023.)
(ii) Period of book closure on transfers of the old securities:
2023/08/27-2023/08/31
(iii)Record date of securities exchange: 2023/08/31
(iv) The date of listing for trading of the new securities: 2023/09/01
(v) The date of delisting for trading of the old securities: 2023/09/01
III. Procedure of transaction of new stocks:
(i) Because the company has fully issued dematerialized securities,
there will no longer physical issuance. Shareholders who have
not opend a TDCC account are requested to open a TDCC
account with a securities firm to facilitate the replacement
operation.
(ii) Please bring old stocks, seal, account book and other required
document to Stock Transfer Agency Department of Capital
Securities Corporation if you have physical stocks currently and
the share transfer registration has been done.
(iii)Please bring old stocks, original seal, account book, application for
transfer of shares, (the purchase report or tax bill of transactions,
list of numbers of withdrawal of stock, etc.), and a copy of the front
and back of the ID card(exempt from original shareholders),
seal(exempt from original shareholders) to Stock Transfer Agency
Department of Capital Securities Corporation by September 1, 2023,
if you have physical stocks currently and the share transfer
registration has not been done.
(iv) The stocks that have been deposited in TDCC account do not
need to go through any procedures.
